Terms and Conditions for Matrix-Based Pricing Subscription

Binding Agreement and Authority
By clicking "I Agree" or otherwise accessing the software, you certify that you are an authorized representative of your company ("Customer") with the authority to bind the Customer to these Terms and Conditions. This agreement governs the use of RG Nets' matrix-based pricing schedule and is an addendum to the standard End User License Agreement (EULA).
Conditional Privileges
The Customer acknowledges that the matrix-based pricing schedule, which allows for the licensing of a specific subset of software features, is a privilege granted by RG Nets. This privilege is strictly conditional upon the Customer:
- Certified Staffing: Maintaining at least one (1) network engineer currently employed by the Customer who has passed the RG Nets' Fundamentals Certification Exam.
- Feature Compliance: Utilizing ONLY the specific features purchased and licensed for any given RXG Asset deployed in production.
Usage Monitoring and Auditing
The Customer acknowledges that RG Nets may utilize automated tools to support the enforcement and auditing of feature usage. The Customer agrees not to bypass or disable any such monitoring mechanisms.
Violations and Remedies
Failure to maintain the conditions outlined in Section 2 shall constitute a material breach of this agreement. In the event of a violation, RG Nets reserves the right to:
- Immediately revoke the Customer's access to matrix-based pricing, reverting the Customer to the obligation to purchase only legacy, full-featured SKUs
- Invoice the Customer for the full cost of premium and elite feature sets that were utilized without proper authorization or licensing.
- Suspend or terminate the underlying software subscription.
